1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the messaging-related services, communication tools, digital solutions, and any other offerings (“Services”) provided by JALINDAR SHENDGE, located at Plot No. 79/80, Pundlik Nagar, Chh. Sambhajinagar – 431001.
For the purpose of this document, the words “we”, “our”, or “us” refer to JALINDAR SHENDGE, and “you”, “your”, or “user” refer to any individual or entity using our Services.

By accessing our website, using our communication platforms, registering for any service, or engaging with our WhatsApp or RCS–based messaging systems, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

If you do not agree with these Terms, you must discontinue the use of our Services immediately.

2. Definitions

For clarity and ease of understanding, the following definitions shall apply:

  • “Business Account” – A verified WhatsApp Business API or RCS-enabled account operated by your organization.
  • “Content” – Any text, media, data, message, or digital material submitted, transmitted, or processed through our Services.
  • “WhatsApp API” – Meta’s official WhatsApp Business Interface used for sending and receiving automated, transactional, or bulk messages.
  • “RCS” – Rich Communication Services provided via telecom operators for enhanced messaging features.
  • “User Data” – Any personal or business information collected for the purpose of account setup, compliance, or service delivery.
  • “Meta” – Meta Platforms, Inc., owner of WhatsApp and its associated services.
  • “Telecom Operators” – Network service providers facilitating SMS/RCS delivery.

3. Acceptance of Terms

By accessing our Services, integrating with our messaging platform, submitting your documents, or allowing us to process your WhatsApp or RCS messaging requirements, you explicitly agree to:

  • These Terms
  • Our Privacy Policy
  • Meta Business Policies
  • Telecom regulatory guidelines (RCS, DLT, TRAI norms)
  • Any applicable Indian laws, including the Information Technology Act, 2000

Your acceptance is considered valid whether manually agreed or implied through continued usage.

4. Description of Services

JALINDAR SHENDGE provides messaging enablement, compliance support, communication setup, template creation, and other digital services including but not limited to:

  • WhatsApp Business API setup & support
  • RCS business messaging facilitation
  • Message template creation & compliance
  • Customer communication tools
  • Business profile assistance
  • Messaging automation (if applicable)
  • General communication consultancy

We act as a facilitator between your business and platforms such as Meta, Google, telecom operators, or third-party service providers.

We do not guarantee the approval of templates, messaging accounts, or delivery outcomes, as the final decision lies with WhatsApp/Meta and telecom authorities.

5. Eligibility

To use our Services, you must:

  1. Be at least 18 years old.
  2. Have the authority to represent your organization.
  3. Provide legitimate business documents.
  4. Comply with all Meta, TRAI, DLT, and telecom policies.

We reserve the right to deny service if we suspect fraudulent, unlawful, or misleading activities.

6. Account Registration

When registering with JALINDAR SHENDGE, you agree to:

  • Provide accurate and complete information.
  • Keep login credentials and sensitive data secure.
  • Update information in case of changes.
  • Not impersonate any other business or individual.

Any misuse of registration details may lead to account suspension without prior notice.

7. User Responsibilities

As a user of our Services, you agree to:

  • Use the Services only for lawful business purposes.
  • Ensure that your messaging content complies with the policies of Meta, RCS operators, and Indian law.
  • Not send spam, misleading offers, fraudulent schemes, or illegal promotions.
  • Not misuse customer data.
  • Not violate privacy rights of end consumers.
  • Maintain transparency in customer communication.

You are fully responsible for the content you send through WhatsApp, RCS, SMS, or any integrated messaging system.

8. Payment & Billing Terms

Payments made for our Services are:

  • Non-refundable, unless explicitly stated otherwise.
  • Required to be paid fully before initiation of service.
  • Subject to applicable GST or taxes.
  • Valid only for the specific service purchased.

If a platform (Meta, RCS, Telecom) rejects your application or template, payments made for our processing or documentation service remain non-refundable.

9. Subscription Renewal & Termination

Some services may be subscription-based. By subscribing, you agree:

  • Renewal charges may apply.
  • Unpaid subscription fees may lead to service suspension.
  • We may terminate services for policy violations.

You may request termination at any time. However, termination does not entitle you to refunds for unused periods.

10. Use of WhatsApp Official API & RCS

By using our WhatsApp or RCS-related services, you acknowledge:

  • The messaging platforms operate under their own policies.
  • Approval, message delivery, template acceptance, or WhatsApp display rules are not controlled by us.
  • You must follow all restrictions on sensitive content (gambling, sexual content, financial scams, regulated products, political campaigns, etc.).

We are not liable for platform-related delays, account bans, throttling, or message rejections.

11. Message Delivery & Compliance Policy

Delivery of messages depends on:

  • Meta/WhatsApp servers
  • Telecom operator networks
  • Recipient handset configuration
  • RCS network availability
  • DLT registration compliance

We ensure best-effort processing but do not guarantee 100% delivery.

You must comply with:

  • TRAI DLT rules
  • Anti-spam guidelines
  • RCS acceptable-use policies
  • WhatsApp Commerce & Business Messaging Policy

Any violation may result in immediate suspension.

12. Intellectual Property Rights

All content on our website, documents created by us, digital material, text, logos, and communication tools remain the intellectual property of JALINDAR SHENDGE.

You may not:

  • Reproduce
  • Redistribute
  • Copy
  • Modify
  • Sell

Our copyrighted material without written permission.

13. Confidentiality

We treat your data, documents, and business information with confidentiality and will not disclose it to unauthorized third parties, except:

  • When required by law
  • When needed for service delivery (Meta, Google, Telecom Operators, etc.)
  • In cases of fraud detection or legal disputes

14. Disclaimer of Warranties

Our services are provided “as is” without any express or implied warranties. We do not guarantee:

  • Approval of your WhatsApp Business API
  • RCS verification
  • Message delivery rate
  • Business growth
  • Platform availability

Platform-related outages are beyond our control.

15. Limitation of Liability

To the maximum extent permitted by law:

  • JALINDAR SHENDGE is not liable for losses caused by delays, rejects, bans, or downtime.
  • We are not responsible for business losses, data loss, revenue loss, or indirect damages.
  • Liability, if any, is limited only to the service fees paid by you.

16. Indemnification

You agree to indemnify and hold harmless JALINDAR SHENDGE from all claims, penalties, damages, or legal disputes arising out of:

  • Misuse of messaging platforms
  • Policy violations
  • Illegal or harmful content sent through your account
  • Violation of these Terms

17. Governing Law (India)

These Terms shall be governed by:

  • The laws of India
  • Jurisdiction: Courts of Maharashtra

18. Changes to Terms

We may update these Terms without prior notice. Continued use of Services means acceptance of revised Terms.
